These Terms and Conditions govern your use of Pacific POS and constitute a legally binding agreement between you and Pacific POS, Inc. Please read them carefully before using our service.
1. Acceptance of Terms
By accessing or using Pacific POS (the 'Service'), you agree to be bound by these Terms and Conditions ('Terms'). If you do not agree to these Terms, please do not use the Service.
These Terms apply to all users of the Service, including without limitation users who are browsers, vendors, customers, merchants, and contributors of content.
2. Account Registration
To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update that information to keep it accurate, current, and complete.
You are responsible for safeguarding the password you use to access the Service and for any activities or actions under your password. Pacific POS will not be liable for any loss or damage arising from your failure to comply with this requirement.
3. Use of the Service
You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service: (a) in any way that violates applicable federal, state, local, or international laws; (b) to exploit, harm, or attempt to exploit or harm minors; (c) to transmit any unsolicited commercial communications; (d) to impersonate or attempt to impersonate Pacific POS, a Pacific POS employee, or another user.
Pacific POS reserves the right to terminate your access to the Service for any breach of these Terms.
4. Payment Terms
Certain features of the Service require payment. You agree to pay all fees associated with your subscription plan as described on our Pricing page. All fees are exclusive of applicable taxes, which you are responsible for paying.
Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. Pacific POS reserves the right to change pricing with 30 days' notice to active subscribers.
5. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of Pacific POS and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.
Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Pacific POS.
6. User Content
You retain all rights to any content you submit, post, or display through the Service ('User Content'). By submitting User Content, you grant Pacific POS a worldwide, non-exclusive, royalty-free license to use, reproduce, and distribute such content solely for the purpose of operating and improving the Service.
You represent and warrant that you have the right to grant this license and that your User Content does not violate any third-party rights.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Pacific POS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses resulting from your use of the Service.
In no event will Pacific POS's total cumulative liability exceed the greater of $100 or the amount you paid to Pacific POS in the twelve months prior to the claim.
8. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.
Upon termination, your right to use the Service will cease. You may export your data within 30 days of account termination using the tools provided in your account dashboard.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
Any dispute arising from these Terms or your use of the Service will be resolved through binding arbitration in New York, NY, except that either party may seek injunctive relief in any court of competent jurisdiction.
10. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the 'Last Updated' date. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
